Business Submission Agreement

1. Introduction

This Business Submission Agreement ("Agreement") governs the submission of business profiles, photographs, logos, text, and other materials (collectively, "Submitted Materials") to Maine Rising ("we," "us," or "our"). By submitting materials to us, you ("the Business" or "you") agree to the terms of this Agreement.

2. Content Ownership and Permissions

By submitting materials to Maine Rising, you confirm and represent that:

• You are the sole owner of all Submitted Materials, including but not limited to photographs, logos, business names, descriptions, and any other content provided; OR
• You have obtained all necessary permissions, licenses, and releases from the rightful owners or authorized representatives to use, publish, and distribute all Submitted Materials; AND
• The use of Submitted Materials by Maine Rising will not infringe upon or violate the rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights.

3. Grant of License to Maine Rising

You hereby grant Maine Rising a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to:

• Use, reproduce, modify, adapt, publish, translate, and display the Submitted Materials in any media format and through any media channels.
• Edit, crop, resize, or otherwise alter Submitted Materials for editorial, design, or promotional purposes.
• Include your business name, logo, photographs, and description on the Maine Rising website, social media accounts, newsletters, marketing materials, and any future publications or platforms operated by Maine Rising.
• Sublicense these rights to third-party service providers (such as hosting platforms and content delivery networks) solely for the purpose of operating and promoting the Maine Rising platform.

This license survives termination of your business listing and continues for as long as Maine Rising hosts or displays the Submitted Materials.

4. Representations and Warranties

You represent and warrant that:

• All information provided is accurate, complete, and not misleading.
• You have the full legal authority to enter into this Agreement and grant the rights herein.
• No Submitted Materials contain defamatory, unlawful, obscene, or otherwise objectionable content.
• You will indemnify and hold harmless Maine Rising from any claims, damages, or expenses arising from a breach of these representations.

5. Maine Rising's Right to Edit and Publish

Maine Rising reserves the right, in its sole discretion, to:

• Edit, rewrite, or reformat submitted text for clarity, style, length, or editorial consistency.
• Select, crop, or otherwise modify submitted photographs and logos for design or layout purposes.
• Decide whether to publish, decline, or remove any submitted business profile at any time and for any reason.
• Feature your business in editorial content, roundups, or promotional campaigns without additional compensation.

6. Removal of Content

You may request removal of your business profile at any time by contacting us. We will make reasonable efforts to remove the profile from our website within a commercially reasonable timeframe. However, Maine Rising is not obligated to remove content that has been shared on third-party platforms (such as social media) or archived copies.

7. No Compensation

Submission of a business profile is voluntary and free. You acknowledge that Maine Rising is not obligated to compensate you for the use of Submitted Materials, including any resulting publicity, traffic, or business generated from your profile.

8. Changes to This Agreement

We may update this Agreement from time to time. Continued submission of materials or maintenance of an active profile after changes constitutes acceptance of the updated terms.

9. Governing Law

This Agreement is governed by the laws of the State of Maine, without regard to its conflict of law principles.
